Hashed Skulls NFT License Terms
Effective Date: 09/11/2024
1. Acceptance of Terms
Hashed Skulls is a Web3 Brand with a remarkable collection of 1,000 Hashed Skull NFTs. By purchasing, holding, or interacting with a Hashed Skulls NFT, you agree to these Terms of Use. If you do not agree with any of these terms, do not purchase or engage with a Hashed Skulls NFT.
As the owner of a Hashed Skulls NFT, you are granted a limited, non-exclusive, worldwide license to use, copy, and display the artwork associated with the Hashed Skull NFT, as described in these terms. This license is subject to the restrictions and limitations outlined in these terms.
The license granted is non-transferable except in connection with a sale or transfer of the Hashed Skull NFT to a new owner. Once the Hashed Skull NFT is sold or transferred, the license is automatically assigned to the new owner, and the previous owner’s rights to use the Hashed Skull NFT terminate.
2. Ownership
By purchasing a Hashed Skulls NFT, you acquire ownership of the digital artwork and the rights to the unique, digital token (NFT) recorded on the Polygon blockchain. The smart contract on the Polygon Network ensures that we cannot seize, freeze, or modify ownership of any Hashed Skulls NFT.
In exchange for being part of the Hashed Skulls community, when purchasing a Hashed Skulls NFT, you allow and agree that Hashed Skulls execute license agreements with third parties for the use and commercialization of Hashed Skulls NFTs, including the ones you acquire. By accepting these terms, you can receive a royalty rate related to any and all such transactions for your Hashed Skulls NFT, as long as you are eligible according to the License Terms and licensing contracts between Hashed Skulls and such third parties.
Additionally, one of the benefits for allowing and agreeing that Hashed Skulls can license your Hashed Skulls NFT to third parties is that your Hashed Skulls NFT can be licensed for ESG (Environmental, Social, and Governance) purposes to companies or organizations for ESG initiatives. Licenses for Hashed Skulls NFT under ESG purposes will be royalty free.
3. Intellectual Property Rights
You have the right to use, copy, and display the purchased NFT for both, personal or for commercial use; and as part of a marketplace that permits the purchase and sale of your Hashed Skulls NFT, provided that the marketplace cryptographically verifies each Hashed Skulls NFT owner’s rights to display the art.
Commercial Use:
As long as you hold the NFT, you may use the underlying Hashed Skulls artwork for commercial purposes, including but not limited to, the creation of derivative works, merchandise, and other projects with an annual revenue cap of $100,000 USD. Revenue above this threshold will require a separate commercial licensing agreement with Hashed Skulls.
Revenue Cap
Licensee may generate up to $100,000 USD in gross revenue annually from the commercial use of the Licensed Material. This includes, but is not limited to, creating and selling derivative works, merchandise, and other commercial products.
Additional Licensing
If the Licensee's commercial activities are expected to exceed the $100,000 USD revenue cap, the Licensee must enter into a separate licensing agreement with Hashed Skulls, which may involve additional fees or profit-sharing arrangements.
Reporting
If requested by Hashed Skulls, Licensee must provide an annual report of all commercial activities involving the Licensed Material, including revenue generated.
Royalty Payments
To be part of the Hashed Skulls community, you allow and agree that Hashed Skulls can execute license agreements with third parties for the use and commercialization of your Hashed Skulls NFTs. By accepting these terms, you can receive a net royalty rate of up to 10% (ten percent) related any and all product transactions commercialized bearing your Hashed Skulls NFT as long as you are eligible according to Terms of Use and licensing contracts between Hashed Skulls and such third parties. In case of eligibility, you will receive the amount in your wallet in USDC crypto.
Modification Rights
You cannot create a derivative work based on the Hashed Skulls NFT, which must be used strictly “as it is”, unless you obtain prior written approval from Hashed Skulls before any modifications are made.
Combination with Other Works
Likewise, you cannot combine a Hashed Skulls NFT, with other works to create something new, unless you obtain prior written approval from Hashed Skulls before any combinations are made.
4. Restrictions
You may not use the artwork in connection with images or activities involving hate speech, violence, adult content or illegal activities.
You may not attempt to trademark, copyright, or otherwise claim ownership over the artwork beyond the ownership of the NFT itself.
You may not use the artwork in any manner that violates the rules and guidelines of Hashed Skulls community.
5. Resale Rights
When you resell your Hashed Skulls NFT, the ownership rights to the artwork transfer to the new owner under the same terms.
All transfer of the NFT must comply with the conditions on this terms and license terms of Hashed Skulls NFT, including restrictions. All and any transfer shall be recorded on the blockchain to maintain transparency for Hashed Skulls community.
6. Termination
The license granted to you is perpetual until you hold ownership of a Hashed Skulls NFT. However, shall automatically terminate and all rights shall return to Hashed Skulls if you breach and/or violate any of these Terms.
7. Disclaimers
No Guarantees
Hashed Skulls NFTs are provided “as is” without warranties of any kind, either express or implied. We do not guarantee the future value, price, or potential of any Hashed Skulls NFT.
Risks
You understand and accept the risks associated with blockchain technology, including risks related to changes in regulatory frameworks, hacking, and loss of value.
Jurisdictional Limits
There is no restriction to the use, sale, or transfer of the Hashed Skulls NFT to any certain geographic regions or prohibition of its use in any countries. Hashed Skulls NFT can be used, sale or transfer to any country you deem necessary.
8. Governing Law
These terms are governed by and construed in accordance with the laws of BRAZIL, including Federal Law #14478/2022 for the regulation of virtual assets. Any disputes arising from these terms shall be resolved in Rio de Janeiro State Court.
9. Amendments
Hashed Skulls reserves the right to update these terms at any time. If changes are made, the updated terms will be posted on our website, and it is your responsibility to review them regularly.
